Steps for Changing a Company Name with the Department of Business Development (DBD)

If your company wishes to change its name, the process involves obtaining a special approval from shareholders, amending the memorandum of association, and submitting the necessary documents to the DBD. Once approved, the updated registration must be submitted to the Revenue Department to reflect the changes in VAT registration. Here are the steps: 

  1. Step 1: Reserve a New Company Name
    The company director must reserve the new company name through the DBD’s online system. Ensure compliance with naming guidelines, which you can check here.
  2. Step 2: Call for a Shareholders’ Meeting
    Call a shareholders’ meeting to approve the name change and amend Clause 1 of the memorandum of association (Company Name). The meeting must have at least two attendees holding a combined share value of no less than one-fourth of the company’s capital. Approval requires a supermajority vote (at least three-fourths of the votes of attendees with voting rights).
  3. Step 3: Specify the Agenda
    The meeting invitation must include an agenda detailing the name-change proposal and any amendments to the company seal, if applicable.
  4. Step 4: Publish a Meeting Announcement
    Announce the shareholders’ meeting invitation in a newspaper or electronic media at least 14 days in advance. For example, if the announcement is made on November 5, the meeting can be held on November 20 (The 14 days timeframe excludes the announcement and meeting dates).
  5. Step 5: Prepare Registration Documents

  6. Step 6: Submit the Application and Await Approval
